By accessing or using the AgentOS 24/7 platform (the "Platform"), you ("Customer," "User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the Platform.
These Terms constitute a binding legal agreement between you and Eternitai LLC, a Delaware limited liability company ("Eternitai," "we," "us," or "our"). Eternitai operates both agentos247.com and clawolution.com under a unified legal framework.
Eligibility:
AgentOS 24/7 is an AI agent deployment and management platform that enables Customers to deploy, configure, and operate AI-powered agents for business automation, customer engagement, and workflow management.
AgentOS 24/7 offers subscription plans as published at agentos247.com/pricing. Pricing is subject to change with 30 days' written notice to existing Customers.
Subscriptions are billed monthly or annually in advance. Annual subscriptions receive a discount as stated on the pricing page. All fees are in EUR unless otherwise stated.
Add-on services, including the Daily GitHub Backup Service ($5.00/month), are billed in addition to the base subscription fee and will appear as separate line items on your invoice.
Payment is processed via our authorized payment processor. By providing payment information, you authorize Eternitai to charge your payment method for all fees due. Failed payments may result in service suspension after a 5-day grace period.
Subscription fees are non-refundable except as required by applicable law or at Eternitai's sole discretion. Add-on services canceled mid-cycle are not prorated unless otherwise stated.
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, or levies arising from your use of the Platform.
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Eternitai immediately at security@agentos247.com upon any unauthorized access or suspected breach.
You agree not to use the Platform to:
You are solely responsible for any API keys, credentials, or third-party service accounts you provide or connect to the Platform. Eternitai does not store your third-party API credentials on its own systems — they are stored solely on your dedicated server. You are responsible for compliance with the terms of any third-party services you integrate.
You are responsible for the accuracy, legality, and appropriateness of all data, content, and configurations you provide to the Platform.
All software, designs, algorithms, documentation, trademarks, and platform infrastructure are owned by or licensed to Eternitai. No rights are transferred to you except the limited license to use the Platform as described in these Terms.
You retain ownership of all data, content, and configurations you provide ("Customer Data"). You grant Eternitai a limited, non-exclusive, royalty-free license to process and store Customer Data solely to provide the Services.
Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Eternitai without restriction or compensation to you.
Each Customer's AI agents operate on a dedicated server (hosted on Hetzner infrastructure in Germany). Your agent data, configurations, and backups remain on your dedicated server unless you explicitly authorize transfer.
Dedicated servers are located in the European Union (Germany) by default. Customers requiring alternative data regions should contact support prior to provisioning.
Eternitai engineers may access your dedicated server for maintenance, security patching, incident response, and backup operations. Such access is logged and subject to the confidentiality obligations in these Terms.
While Eternitai targets high availability, the Platform is provided "as is" with no guaranteed uptime SLA unless specified in a separate written agreement.
AI agents are automated systems. Outputs may contain errors, omissions, or inaccuracies. You are responsible for reviewing agent outputs before relying on them for decisions. Eternitai is not liable for decisions made based on AI-generated content.
Agent functionality may depend on third-party APIs and platforms. Eternitai is not responsible for downtime, changes, or failures of third-party services.
Eternitai offers a GitHub Backup Service that automatically backs up each Customer's agent configurations, memory files, skill definitions, and workspace data to a designated GitHub repository ("Backup Repository").
Customers may upgrade to Daily Backups for an additional $5.00 USD per month per account, which includes:

Backup data is available for self-service restoration via GitHub. Eternitai will assist with restoration upon request, subject to reasonable technical feasibility. Restoration is provided on a best-efforts basis and is not guaranteed.
The GitHub Backup Service is provided as a convenience feature. Eternitai does not warrant that backups will be complete, error-free, or available at any specific time. Customers are strongly encouraged to maintain independent backups of critical data. Eternitai's liability for backup failures is limited as set forth in Section 11.
The Backup Service depends on GitHub's platform (github.com), operated by GitHub, Inc. (a subsidiary of Microsoft Corporation). Service disruptions, policy changes, or outages at GitHub may affect backup availability. Eternitai is not responsible for GitHub's service failures or changes to GitHub's terms or API.
You may cancel the Daily Backup Add-On at any time via your account dashboard. Cancellation takes effect at the end of the current billing cycle. Upon cancellation, backup frequency reverts to the Standard weekly schedule.
Data committed to a GitHub repository as part of this Service is subject to GitHub's Privacy Policy and Terms of Service in addition to Eternitai's Privacy Policy. Customers should review GitHub's data processing terms, particularly if backup data includes personal data of end users subject to GDPR or other privacy regulations.
Eternitai takes reasonable technical measures to secure backup repositories, including:
Customers are advised not to include sensitive credentials, passwords, or regulated personal data in agent workspace files that are subject to backup.
Each party agrees to keep the other's Confidential Information confidential and not to disclose it to third parties without prior written consent, except as required by law.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law or court order.
Eternitai treats all Customer Data, agent configurations, and backup content as Confidential Information subject to this Section.
Your privacy is governed by our Privacy Policy, incorporated herein by reference. Key points:
THE PLATFORM AND ALL SERVICES, INCLUDING THE GITHUB BACKUP SERVICE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ETERNITAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ETERNITAI'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO ETERNITAI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
WITHOUT LIMITING THE FOREGOING, ETERNITAI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE GITHUB BACKUP SERVICE (INCLUDING BACKUP FAILURE, DATA LOSS, OR RESTORATION FAILURE) SHALL NOT EXCEED THE FEES PAID FOR THE BACKUP SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR $15.00 USD, WHICHEVER IS GREATER.
The parties acknowledge that the limitations in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain between the parties.
You agree to indemnify, defend, and hold harmless Eternitai and its officers, directors, employees, and agents from and against any claims, liabilities, damages, penalties, fines, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law; (c) your Customer Data or agent configurations; (d) your use of third-party services connected to the Platform; or (e) any breach of representations you made in these Terms.
These Terms commence on the date you first access or use the Platform and continue until terminated.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for unused periods.
Eternitai may suspend or terminate your account immediately upon: (a) material breach of these Terms; (b) fraudulent or illegal activity; (c) non-payment after the grace period; or (d) any conduct that Eternitai determines, in its sole discretion, poses a risk to other Customers or the Platform.
Upon termination: (a) your license to use the Platform ceases; (b) Eternitai will retain your data for 30 days post-termination to enable data export, after which it may be permanently deleted; (c) backup repositories provisioned by Eternitai may be archived or deleted; (d) accrued payment obligations survive termination.
Upon request prior to or within 30 days of termination, Eternitai will provide a reasonable mechanism for you to export your Customer Data.
Eternitai reserves the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email to your registered address or a prominent notice on the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance. If you do not agree to changes, you must cancel before the effective date.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Before initiating formal proceedings, the parties agree to attempt good-faith resolution by contacting legal@agentos247.com and allowing 30 days for a response.
Any dispute not resolved informally shall be submitted to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, conducted in Delaware or remotely. The arbitrator's decision shall be final and binding.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION AGAINST ETERNITAI.
Notwithstanding the above, customers in the European Union retain the right to bring claims before their local supervisory authority under applicable EU law (including GDPR enforcement), and nothing in these Terms limits those statutory rights.
These Terms, together with the Privacy Policy and any executed Order Forms, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
Failure to enforce any provision shall not constitute a waiver of future enforcement rights.
Eternitai is not liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, cyberattacks, internet outages, GitHub platform outages, or government actions.
You may not assign these Terms without Eternitai's prior written consent. Eternitai may assign these Terms in connection with a merger, acquisition, or sale of assets.
